Terms of Service

1. What Engram Is

Engram is a Software-as-a-Service (SaaS) product that provides a memory and context layer on top of third-party AI providers. Engram operates on a Bring Your Own Key (BYOK) model — you connect your own API keys for AI providers such as Anthropic (Claude), OpenAI (GPT), or Google (Gemini). Engram does not provide AI model access itself.

By creating an account and using Engram, you agree to these Terms of Service. If you do not agree, do not use the service.

Engram is operated by Arun Kumar Rathinam, an individual based in Pune, Maharashtra, India. References to "we", "us", or "our" mean Arun Kumar Rathinam.

2. Subscription Terms

2.1 Free Trial

New accounts receive a 14-day free trial. No payment information is required during the trial period and you will not be charged. You may cancel at any time during the trial with no obligation.

2.2 Paid Plans

After the 14-day trial, continued use of Engram requires a paid subscription. Available plans and pricing are displayed in the billing section of the app. All prices are in USD unless otherwise stated.

2.3 Auto-Renewal

Subscriptions renew automatically at the end of each billing period (monthly or annual) until cancelled. You authorise us to charge the payment method on file for each renewal. You will receive a reminder before any annual renewal.

2.4 Cancellation

You may cancel your subscription at any time via the billing portal within the app or by emailing privacy@theengramapp.com. Cancellation takes effect at the end of the current billing period — you retain access to Engram until that date. We do not prorate cancellations mid-period for monthly plans.

2.5 Price Changes

We reserve the right to change subscription pricing. We will notify you of any price changes at least 30 days before they take effect. Continued use after the change constitutes acceptance of the new price.

3. User Responsibilities

3.1 Your API Keys

Engram uses your own API keys to access AI providers. You are solely responsible for:

• Obtaining and managing your API keys from the relevant providers
• All costs incurred with AI providers through your API keys
• Keeping your API keys secure and confidential
• Any usage of those keys, whether initiated through Engram or otherwise

Engram is not responsible for any charges billed to you by AI providers. Your relationship with AI providers (Anthropic, OpenAI, Google, etc.) is governed entirely by their own terms of service.

3.2 Account Security

You are responsible for maintaining the confidentiality of your Engram account credentials. Notify us immediately at privacy@theengramapp.com if you suspect unauthorised access to your account.

3.3 Accurate Information

You agree to provide accurate and complete information when creating your account and to keep that information up to date.

4. Acceptable Use

You agree not to use Engram to:

• Violate any applicable law or regulation
• Generate, store, or transmit content that is illegal, harmful, defamatory, or obscene
• Infringe the intellectual property rights of any third party
• Attempt to gain unauthorised access to Engram's systems or other users' data
• Reverse-engineer, decompile, or disassemble any part of the service
• Use the service to train competing AI models or products without our written consent
• Transmit spam, malware, or any malicious code
• Impersonate any person or entity

We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these terms.

5. Intellectual Property

5.1 Your Content

You retain all ownership rights to the content you create, send, or store through Engram. By using Engram, you grant us a limited licence to process and store your content solely to provide the service to you. We do not claim any ownership over your conversations, memories, or data.

5.2 Engram's Property

The Engram name, logo, software, design, and all associated intellectual property are owned by Arun Kumar Rathinam. You may not reproduce, distribute, modify, or create derivative works from any part of Engram without our prior written consent.

5.3 Feedback

If you submit ideas, suggestions, or feedback about Engram, you grant us a perpetual, royalty-free licence to use that feedback without any obligation to you.

6. Limitation of Liability

To the maximum extent permitted by applicable law:

• Engram is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
• We do not warrant that the service will be uninterrupted, error-free, or free of viruses or other harmful components.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of Engram.
• Our total liability to you for any claim arising out of or related to these Terms or the service shall not exceed the amount you paid us in the 12 months preceding the claim.
• We are not responsible for the actions, content, accuracy, or reliability of any third-party AI provider or their outputs.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

7. Termination

We may suspend or terminate your access to Engram at any time for violation of these Terms, non-payment, or for any other reason at our discretion, with or without notice. Upon termination, your right to use the service ceases immediately. Sections on intellectual property, limitation of liability, and governing law survive termination.

8. Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or your use of Engram shall be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra, India.

9. Changes to These Terms

We may update these Terms of Service from time to time. We will notify you of material changes by updating the effective date at the top of this page and, where appropriate, by email. Continued use of Engram after changes take effect constitutes acceptance of the updated Terms.
